Our client is looking for a detail-driven SID/Corporate Paralegal to play a vital role in supporting both Sanitary and Improvement District (SID) and corporate clients. In this multifaceted position, you’ll be at the center of complex projects ensuring compliance with state statutes and municipal regulations, coordinating with attorneys and key stakeholders, and helping drive district formation, governance, financing, and infrastructure initiatives. You’ll also take the lead in preparing critical legal documents, maintaining corporate and district records, and supporting corporate filings, all while serving as a trusted liaison across teams. Key Responsibilities - SID

  • Draft and prepare petitions, resolutions, contracts, easements, agreements, and other legal documents required for district formation, governance, and development projects.
  • File legal documents with courts, city and county offices, and other governmental entities.
  • Assist attorneys with preparation of bond issuances, disclosures, and financial compliance documents.
  • Prepare agendas, board packets, and meeting materials.
  • Record and maintain board meeting minutes, resolutions, and official actions.
  • Ensure board meetings and notices comply with Nebraska Open Meetings Act and other statutory requirements.
  • Research real property ownership, plats, easements, and land use regulations.
  • Assist with district formation or annexation processes.
  • Coordinate agreements and communications with city/county staff, developers, engineers, municipal advisors, contractors, and board members regarding infrastructure improvements.
  • Track deadlines for statutory filings, reports, and renewals.
  • Ensure compliance with local, state, and environmental regulations affecting SID operations.
  • Maintain records of warrants, bonds, assessments, liens, easements and other legal documents.
  • Respond to inquiries from city/county staff, developers, engineers, municipal advisors and board members regarding SID matters.
  • Draft correspondence, notices, and official communications.
  • Serve as liaison between city/county staff, developers, attorneys, board members, municipal advisors, and other stakeholders.
  • Maintain organized case files and electronic records for legal matters, contracts, and assessments.
  • Track deadlines for board actions, bond filings, and legal proceedings.
  • Assist attorneys in research and preparation of legal opinions or reports.
  • Maintain both electronic and physical filing systems.
  • Assist in the preparation of reports, presentations, minutes and summaries for board meetings for attorney review.
  • Schedule meetings, hearings, and appointments as needed.

Key Responsibilities - Corporate

  • Maintain corporate records, including minutes, resolutions, bylaws, and articles of incorporation.
  • Prepare and file documents with the Secretary of State or other regulatory agencies.
  • Assist with annual meetings, board meetings, and shareholder communications.
  • Track corporate filings, deadlines, and compliance requirements.
  • Draft, review, and manage corporate contracts, NDAs, and agreements under attorney supervision.
  • Maintain organized contract databases and ensure all agreements are up-to-date.
  • Support attorneys in contract negotiations and execution processes.
  • Assist in mergers, acquisitions, and corporate restructuring projects.
  • Prepare and review due diligence materials for corporate transactions.
  • Coordinate with internal departments and external counsel on transactional matters.
  • Conduct legal research related to corporate laws, regulations, and filings.
  • Prepare correspondence, reports, and presentations for attorneys and executives.
  • Organize and maintain electronic and physical legal files.

Qualifications

  • Minimum of two years of paralegal experience, preferably in corporate governance, municipal, corporate real estate, or public finance law.
  • Knowledge of one or more of the following areas of law:  corporate law, real property law, municipal law and public finance law.
  • Excellent drafting, organizational, and administrative skills.
  • Ability to manage multiple projects and deadlines simultaneously.
  • Proficient in Microsoft Office Suite and electronic filing systems.
  • Strong communication and interpersonal skills for coordination with attorneys, board members, developers, engineers and municipal advisors.
